TERMS & CONDITIONS

If you purchase an Authority Builder product by Investor Fuel, you agree completely to the terms and conditions above. If you do NOT agree, please do not make this purchase.
1. PARTIES & SERVICE DESCRIPTION
This Agreement ("Agreement") is entered into between EP Management Inc., doing business as Investor Fuel ("Investor Fuel," "we," "us," or "our"), located at 3610 North Josey Lane, Suite 130, Carrollton, Texas 75007, and the client ("Client," "you," or "your") enrolling in the Authority Builder Program ("Service").
The Authority Builder Program is a social media content creation and distribution service that includes video production, editing, caption writing, and automated posting to Client's social media platforms.
2. SERVICE PLANS & PRICING
2.1 Available Plans
The Service is offered in four tiers: Starter, Premier, Pro, and Omni. Each plan includes specific features, video quantities, recording sessions, and platform access as detailed in the Plan Comparison Matrix, which is incorporated into this Agreement by reference.
2.2 Pricing Structure
Member Pricing: Available exclusively to active Investor Fuel mastermind members
Starter: $1,000/month
Premier: $1,800/month
Pro: $2,500/month
Omni: $3,500/month
Non-Member Pricing: Applies to all clients not currently enrolled in Investor Fuel
Starter: $2,500/month
Premier: $3,500/month
Pro: $4,500/month
Omni: $6,000/month
2.3 Investor Fuel Membership Requirement
Member pricing is contingent upon maintaining active Investor Fuel mastermind membership. If Client cancels or terminates Investor Fuel membership during the term of this Agreement, pricing will automatically adjust to non-member rates effective on the first day of the month following the cancellation. Investor Fuel will notify Client of the pricing adjustment with at least 30 days' notice.
2.4 Price Lock Guarantee
The pricing in effect at the time of enrollment is locked for the duration of the initial 12-month commitment period. After the initial term, Investor Fuel reserves the right to adjust pricing with 30 days' written notice.
3. TERM & COMMITMENT
3.1 Initial Term
This Agreement requires a 12-month commitment from the Service Start Date (as defined in Section 4.2). The initial term cannot be cancelled without cause during the first 12 months.
3.2 Renewal Terms
After the initial 12-month term, this Agreement will automatically renew on a month-to-month basis under the same terms and conditions unless either party provides written notice of cancellation at least 30 days prior to the desired termination date.
3.3 Early Termination
Client may not terminate this Agreement during the initial 12-month term except for cause as specified in Section 15. There are no early termination fees; however, Client remains obligated for the full 12-month commitment period.
4. BILLING & PAYMENT TERMS
4.1 Payment Method
All payments must be made via credit card through Investor Fuel's automated checkout system. Client authorizes Investor Fuel to charge the credit card on file for all recurring monthly payments.
4.2 Billing Cycle & Setup Month
Initial Payment: Upon enrollment, Client will pay the full monthly fee for their selected plan. This initial payment covers account setup, onboarding, platform configuration, training, and initial content recording during the remainder of the current calendar month (the "Setup Month").
Service Start Date: Full service delivery begins on the 1st day of the month immediately following enrollment.
Recurring Billing: All subsequent billing occurs automatically on the 1st of each month.
Example: If Client enrolls on November 15th and pays $1,000, that payment covers setup and onboarding through November 30th. The next billing of $1,000 occurs on December 1st for full service delivery throughout December.
4.3 Setup Timeline
The Setup Month typically allows for 30 days of onboarding and configuration. For mid-month enrollments, Investor Fuel will expedite the setup process to ensure Client is fully onboarded and ready for service delivery by the Service Start Date, even if this requires completing setup in as few as 7-14 days.
4.4 Failed Payments
If a scheduled payment fails, Investor Fuel will attempt to process the payment 3-5 additional times over the following 10 days. If payment cannot be collected after all retry attempts, Client's account will be suspended, and service delivery will cease until payment is received. Suspended accounts do not extend the 12-month commitment period.
4.5 No Refunds
All payments are non-refundable. Services are provided on a subscription basis, and no refunds will be issued for partial months, unused services, or early termination.
4.6 Late Fees
Investor Fuel reserves the right to charge a late fee of $50 for any payment that remains unpaid 15 days after the due date.
5. SERVICE DELIVERY
5.1 Video Production
Investor Fuel will produce, edit, and deliver the number of videos specified in Client's selected plan each month. All videos will be under 2 minutes in length and formatted for short-form social media distribution.
Video Types:
New Videos: Original content recorded during scheduled sessions or submitted by Client
Re-edits: Variations of existing videos with different edits, captions, or calls-to-action (available in Premier, Pro, and Omni plans)
5.2 Recording Sessions
Client is allocated a specific number of recording session hours per month based on their plan:
Starter: Up to 2 hours per month
Premier: Up to 3 hours per month
Pro: Up to 4 hours per month
Omni: Up to 4 hours per month
Session Guidelines:
Sessions must be scheduled at least 7 days in advance
Sessions should be distributed evenly throughout the month (maximum 1 session per week)
Sessions will be conducted via Investor Fuel's chosen video platform (currently Riverside.fm, subject to change)
Client may not "stack" multiple sessions in a single day or week
5.3 Self-Submitted Content
Client may submit self-recorded videos that comply with Investor Fuel's format requirements:
Videos must be under 2 minutes or clearly segmented into 2-minute chunks
Videos must be intentional content pieces, not raw footage requiring extensive editing
Videos must be submitted in a format and resolution suitable for editing
Investor Fuel reserves the right to reject submissions that do not meet quality standards
5.4 No Rollover of Services
Unused recording sessions, missed videos, or unutilized services do not roll over to subsequent months. If Client does not record sufficient content in any given month, Investor Fuel will make reasonable efforts to re-edit previous videos to fulfill the video quota for that month, but is not obligated to do so.
5.5 Missed Recording Sessions
If Client no-shows or cancels a scheduled recording session without at least 24 hours' notice, the session is forfeited with no penalty. The missed session does not extend Client's service term or create any additional obligations for Investor Fuel.
5.6 Service Delivery Timeline
Investor Fuel requires a minimum of 7 days from content recording to distribution of the first video. Videos will be distributed evenly throughout the month according to the posting schedule:
Starter (20 videos): 1 video per weekday (Monday-Friday)
Premier (40 videos): 2 videos per weekday
Pro (60 videos): 3 videos per weekday
Omni (100 videos): Multiple variations across multiple accounts
5.7 Content Revisions
If Client requests revisions to an edited video, Investor Fuel will accommodate reasonable revision requests. However, since Client creates the original content, major re-edits due to content issues are not guaranteed. Investor Fuel's editing focuses on production quality, transitions, captions, and formatting—not content restructuring.
6. DISTRIBUTION & PLATFORM ACCESS
6.1 Supported Platforms
Investor Fuel will distribute content to the following social media platforms:
Instagram (Business or Creator accounts only)
Facebook Pages (not personal profiles)
Twitter/X
TikTok
LinkedIn
YouTube Shorts
Other platforms as supported by our scheduling tools
6.2 Facebook Personal Profiles Excluded
Investor Fuel does NOT distribute content to Facebook personal profiles, as third-party scheduling tools cannot reliably publish to personal profiles. Client may download videos from their Google Drive and manually post to personal profiles if desired.
6.3 Platform Access Requirements
Client must grant Investor Fuel administrative or editor-level access to all social media accounts where distribution is requested. This may require:
Adding Investor Fuel team members as Page Admins on Facebook Pages
Connecting Instagram Business/Creator accounts via Facebook
Authorizing third-party scheduling tools through platform APIs
Providing necessary credentials or permissions as required by each platform
Client is responsible for ensuring Investor Fuel maintains uninterrupted access to all platforms throughout the service term.
6.4 Loss of Platform Access
If Investor Fuel loses access to Client's social media platforms due to Client action (password changes, permission revocations, etc.) or platform policy changes, Investor Fuel will notify Client immediately. Client must restore access within 7 days.
If access is not restored within 7 days:
Investor Fuel is not obligated to post content to the inaccessible platforms
All edited videos will still be provided to Client via Google Drive
Client may manually post videos to affected platforms
Investor Fuel will not be held liable for missed posts or service interruptions
This does not constitute a breach of service or grounds for refund
6.5 Third-Party Scheduling Tools
Investor Fuel reserves the right to use any third-party scheduling and social media management tools necessary to deliver the Service, including but not limited to Buffer, Hootsuite, Later, or similar platforms. These tools may change at Investor Fuel's discretion without notice to Client.
6.6 Number of Platforms
The number of social media platforms Client may connect depends on their plan:
Starter & Premier: Up to 5 platforms per client
Pro & Omni: Up to 10 platforms per client
For Omni plans, this may include multiple accounts on the same platform (e.g., 5 Instagram accounts, 5 LinkedIn accounts).
7. CONTENT OWNERSHIP & USAGE RIGHTS
7.1 Client Ownership
Client retains full ownership of all raw video footage, edited videos, and content created under this Agreement. Investor Fuel claims no ownership rights to Client's content.
7.2 Google Drive Access
Investor Fuel will provide Client with access to a dedicated Google Drive folder containing:
All raw video recordings from sessions
All edited final videos
All video variations and re-edits
Client may download, share, or repurpose this content in any manner.
7.3 Investor Fuel's Right to Use Content
Client grants Investor Fuel a non-exclusive, royalty-free license to use Client's videos, testimonials, case studies, and results in Investor Fuel's marketing materials, including but not limited to:
Website testimonials and case studies
Social media posts showcasing client success
Sales presentations and promotional materials
Training and educational content
Investor Fuel will make reasonable efforts to notify Client before using their content for marketing purposes but is not required to seek approval for each use.
7.4 License to Edit & Distribute
Client grants Investor Fuel a limited license to edit, modify, caption, and distribute Client's video content solely for the purpose of fulfilling the Service obligations under this Agreement.
8. CONTENT STANDARDS & REJECTION RIGHTS
8.1 Prohibited Content
Client agrees not to create or submit content that:
Violates any local, state, federal, or international law
Infringes on intellectual property rights of third parties
Contains defamatory, libelous, or fraudulent statements
Promotes violence, discrimination, or hate speech
Contains explicit sexual content or graphic violence
Violates social media platform community guidelines or terms of service
8.2 Quality Standards
Investor Fuel reserves the right to reject content that:
Does not meet minimum technical quality standards (audio, lighting, resolution)
Is not formatted according to Investor Fuel's submission guidelines
Cannot be reasonably edited into a 2-minute social media video
Would harm Investor Fuel's reputation or violate platform policies
8.3 Right to Refuse Service
If Client repeatedly submits prohibited or low-quality content despite warnings, Investor Fuel reserves the right to terminate this Agreement for cause pursuant to Section 15.
9. BUSINESS OBJECTIVES & STRATEGY
9.1 Business Objectives
Client will select 1-2 business objectives (depending on plan level) that will guide content strategy and the video prompt library. Business objectives may include:
Buying houses or real estate investing
Selling coaching or consulting services
Raising capital or investor relations
Brand awareness and thought leadership
Lead generation for specific services
Other objectives as agreed upon
9.2 Video Prompt Library
Investor Fuel will provide Client with a customized video prompt library based on Client's selected business objectives and information gathered during onboarding. This library serves as a guide for content creation but does not obligate Client to use specific prompts.
9.3 Funnel & CTA Consulting (Pro & Omni Only)
Clients on Pro and Omni plans receive consulting on funnel optimization and call-to-action (CTA) strategy. This includes guidance on:
Directing social media traffic to landing pages or offers
Optimizing CTAs in video captions and content
Aligning content strategy with sales funnels
This consulting is advisory only and does not include execution of landing pages, email sequences, or sales funnel buildout.
10. MULTI-CLIENT ACCOUNTS (PRO & OMNI ONLY)
10.1 Two-Client Option
Pro and Omni plans allow up to 2 clients under a single account. These clients must be:
Business partners in the same company, OR
Spouses/life partners
10.2 Content Allocation
Video production and recording sessions may be split between the two clients as desired (e.g., 30 videos each for Pro plan, 50 videos each for Omni plan). Each client may:
Select their own business objective
Have their own Google Drive folder
Connect their own social media platforms (up to the plan's total platform limit)
10.3 Single Point of Contact
Despite having two clients on the account, there must be a single primary contact responsible for billing, scheduling, and communication with Investor Fuel.
11. CLIENT RESPONSIBILITIES
11.1 Timely Participation
Client agrees to:
Schedule and attend recording sessions as allocated in their plan
Provide Investor Fuel with necessary platform access within 7 days of enrollment
Respond to Investor Fuel communications within 5 business days
Maintain valid payment information on file
11.2 Equipment & Setup
Client is responsible for ensuring they have adequate equipment for recording sessions, including:
A device with camera and microphone (smartphone, tablet, or computer)
Stable internet connection for virtual recording sessions
Adequate lighting and audio quality for professional content
Investor Fuel will provide guidance on equipment and setup during onboarding but is not responsible for Client's technical difficulties.
11.3 Content Creation
Client is responsible for creating the actual content of videos, including talking points, messaging, and on-camera delivery. Investor Fuel handles editing, production, captions, and distribution—not content strategy or scriptwriting (except for the video prompt library provided as a guide).
11.4 Platform Compliance
Client agrees to comply with all terms of service, community guidelines, and policies of each social media platform where content is distributed. Investor Fuel is not responsible for platform violations resulting from Client's content.
12. INVESTOR FUEL'S RESPONSIBILITIES
12.1 Professional Services
Investor Fuel agrees to:
Provide professional video editing and production services
Write engaging captions for all distributed content
Distribute content according to the agreed-upon posting schedule
Maintain Google Drive access with all raw and edited videos
Provide the video prompt library and strategic guidance
Respond to Client inquiries within 2 business days
12.2 Service Modifications
Investor Fuel reserves the right to modify service features, tools, platforms, or delivery methods with 30 days' notice to better serve clients or adapt to industry changes. Such modifications will not reduce the core value of the Service (video quantity, recording sessions, distribution).
13. LIMITATIONS OF LIABILITY
13.1 No Guarantee of Results
Investor Fuel makes no guarantees regarding:
Social media engagement, reach, or follower growth
Lead generation or business results from distributed content
Platform algorithm performance or content visibility
Specific ROI or business outcomes
13.2 Platform-Related Issues
Investor Fuel is not liable for:
Social media platform outages, policy changes, or account restrictions
Content removed or flagged by platforms for violating their policies
Algorithm changes that affect content performance
Account suspensions or bans resulting from Client's content or behavior
13.3 Technical Issues
Investor Fuel is not responsible for:
Client's internet connectivity or equipment failures during recording sessions
Data loss due to Client's failure to download content from Google Drive
Delays in service delivery caused by Client's failure to provide timely platform access or content
13.4 Maximum Liability
In no event shall Investor Fuel's total liability under this Agreement exceed the total amount paid by Client in the 3 months prior to the claim.
14. INDEMNIFICATION
Client agrees to indemnify, defend, and hold harmless Investor Fuel, its officers, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
Client's content violating third-party intellectual property rights
Client's violation of platform terms of service or community guidelines
False, misleading, or defamatory statements in Client's content
Client's breach of this Agreement
15. TERMINATION
15.1 Termination by Client After Initial Term
After completing the initial 12-month commitment, Client may terminate this Agreement by providing 30 days' written notice to support@investorfuel.com. Termination will be effective on the first day of the month following the 30-day notice period.
15.2 Termination for Cause by Investor Fuel
Investor Fuel may terminate this Agreement for cause with 30 days' written notice if Client:
Fails to pay any amounts due after all retry attempts
Repeatedly violates content standards despite warnings
Engages in abusive, threatening, or harassing behavior toward Investor Fuel staff
Uses the Service for illegal purposes
Materially breaches this Agreement and fails to cure within 15 days of notice
15.3 Immediate Termination by Investor Fuel
Investor Fuel may immediately terminate this Agreement without notice if Client:
Submits content promoting illegal activity
Engages in fraudulent or deceptive practices
Poses a legal or reputational risk to Investor Fuel
15.4 Effect of Termination
Upon termination:
Client's access to scheduling and distribution services will cease
Client retains access to Google Drive for 30 days to download all content
No refunds will be issued for any remaining commitment period or unused services
Client remains responsible for all outstanding payments
16. DISPUTE RESOLUTION
16.1 Informal Resolution
In the event of any dispute, claim, or controversy arising out of or relating to this Agreement, the parties agree to first attempt to resolve the matter informally by contacting support@investorfuel.com.
16.2 Binding Arbitration
If informal resolution is unsuccessful within 30 days, any dispute shall be resolved through binding arbitration in Denton County, Texas, in accordance with the rules of the American Arbitration Association. The decision of the arbitrator shall be final and binding on both parties.
16.3 Waiver of Class Actions
Client agrees that any arbitration or legal proceeding shall be conducted on an individual basis and not as part of a class action, consolidated action, or representative action.
16.4 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
17. GENERAL PROVISIONS
17.1 Entire Agreement
This Agreement, together with the Plan Comparison Matrix, constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and representations.
17.2 Amendments
Investor Fuel may amend this Agreement with 30 days' written notice. Continued use of the Service after the effective date of amendments constitutes acceptance of the revised terms.
17.3 Assignment
Client may not assign or transfer this Agreement without Investor Fuel's prior written consent. Investor Fuel may assign this Agreement to any affiliate or successor entity.
17.4 Severability
If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
17.5 Waiver
Investor Fuel's failure to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.
17.6 Notices
All notices under this Agreement must be sent to:

17.7 Force Majeure
Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including but not limited to acts of God, natural disasters, pandemics, government restrictions, or social media platform policy changes.
17.8 Independent Contractor
The parties are independent contractors. This Agreement does not create a partnership, joint venture, employment, or agency relationship.
18. ACCEPTANCE
By enrolling in the Authority Builder Program and submitting payment, Client acknowledges that they have read, understood, and agree to be bound by these Terms & Conditions.
