ARTICLE 1: ACCEPTANCE OF TERMS
By enrolling in Investor Fuel Club and/or the Investor Fuel Deal Partner Program ("Program"), you ("Member") agree to be bound by these Terms and Conditions ("Agreement") with EP Management Inc. d/b/a Investor Fuel ("Investor Fuel," "we," "us," or "our"). This Agreement is effective as of the date your enrollment is processed and your first payment is received.
Please read this Agreement carefully before enrolling. If you do not agree to these terms, do not enroll in the Program.

ARTICLE 2: PROGRAM DESCRIPTION
2.1 Investor Fuel Club
Investor Fuel Club is a coaching and education program designed for new and newer real estate investors who are seeking the knowledge, tools, community, and support needed to launch and grow their real estate investing careers. The program includes weekly group coaching calls, access to a private member community, training resources, document libraries, master classes, and other educational benefits as described at the time of enrollment.
Investor Fuel Club is a coaching and educational program only. It is not an investment advisory service, a securities offering, a real estate brokerage, or a financial planning service.
2.2 Investor Fuel Deal Partner Program
The Investor Fuel Deal Partner Program is an optional, separate program available to Investor Fuel Club members. The Deal Partner Program connects Members with experienced real estate investors ("Deal Partners"), which may include members of the Investor Fuel Mastermind community or members of the Investor Fuel team, for the purpose of potentially partnering on real estate transactions.
Enrollment in the Deal Partner Program is voluntary and does not guarantee that any deal partnership will occur. Deal partnerships, if any, are negotiated solely between the Member and their assigned Deal Partner. Investor Fuel is not a party to any such deal or partnership agreement.
2.3 Program Scope and Limitations
Membership in Investor Fuel Club and/or the Deal Partner Program does not include access to Investor Fuel Alliance, Investor Fuel Mastermind, Investor Fuel Council, or any other Investor Fuel programs, products, or events associated with those programs. Each program is separate and requires its own enrollment and applicable fees.

ARTICLE 3: PAYMENT TERMS
3.1 Membership Fees
Investor Fuel Club membership is billed on a monthly or annual recurring basis at the rate in effect at the time of enrollment. The Deal Partner Program may be billed on a one-time, monthly, or annual basis depending on the terms in effect at the time of enrollment. Investor Fuel reserves the right to modify the billing structure, pricing, and payment terms for either program at any time, with reasonable advance notice to active members.
3.2 Payment Method
All membership fees are charged via credit card only. By enrolling, you authorize Investor Fuel to charge your credit card on a recurring basis in accordance with your selected billing cycle until your membership is cancelled in accordance with this Agreement.
3.3 Billing Cycle
Your first payment is due upon enrollment. For monthly memberships, subsequent payments are automatically charged on the same calendar date each month. For annual memberships, subsequent payments are charged on the same date each year. If your billing date falls on a date that does not exist in a given month, the charge will process on the last day of that month.
3.4 Failed Payments
If a payment fails, Investor Fuel will attempt to process the charge again. If payment cannot be collected, your membership access may be suspended until payment is resolved. Investor Fuel reserves the right to terminate membership for non-payment.
3.5 No Refunds
All membership fees are non-refundable. There are no refunds for partial months, partial years, unused benefits, or any other reason, including but not limited to cancellation prior to the end of a billing period, failure to use program resources, or dissatisfaction with program content. By enrolling, Member acknowledges and accepts this no-refund policy in full.

ARTICLE 4: CANCELLATION
4.1 Member-Initiated Cancellation
You may cancel your membership at any time by submitting a written cancellation request to support@investorfuel.com. Cancellation requests must be received at least five (5) business days prior to your next billing date to prevent the next charge from being processed. Cancellations received after this window will take effect the following billing cycle. No refund will be issued for the current billing period upon cancellation.
4.2 Access Upon Cancellation
Upon cancellation, your access to member resources, the private community, coaching calls, training portal, and all other program benefits will terminate at the end of your current paid billing period.
4.3 Investor Fuel-Initiated Termination
Investor Fuel reserves the right to terminate your membership at any time, with or without cause, including but not limited to violation of this Agreement, disruptive or inappropriate conduct, unauthorized sharing of login credentials, solicitation of other members, or non-payment. Terminations resulting from violation of this Agreement or member misconduct are not eligible for any refund. In the event Investor Fuel terminates a membership without cause, Member will receive a prorated credit for any unused portion of the current paid billing period.

ARTICLE 5: PROGRAM CONTENT AND EDUCATIONAL NATURE
5.1 Educational Purpose
All coaching calls, master classes, training materials, community discussions, and content provided through Investor Fuel Club are for educational and informational purposes only. Nothing provided through the Program constitutes financial advice, investment advice, legal advice, tax advice, or any other form of professional advisory services. Members are encouraged to consult qualified professionals before making any investment, legal, tax, or financial decisions.
5.2 No Guarantee of Results
Real estate investing involves significant risk. Market conditions vary widely by geography and change over time. Individual results depend on a wide range of factors including, but not limited to, local market conditions, personal financial circumstances, work ethic, experience level, access to capital, deal availability, and individual decision-making.
Investor Fuel does not guarantee, warrant, or represent that any Member will achieve any specific financial outcome, close any specific number of deals, generate any specific amount of income or profit, or achieve any level of success as a real estate investor.
Member acknowledges that any discussion of financial outcomes, deal examples, income potential, or wealth-building strategies within the Program reflects the individual experiences of coaches, members, or guests and is provided for educational context only. Past results of any coach, member, or guest are not indicative of future results for any other member.
5.3 Member Responsibility
Success as a real estate investor is fundamentally dependent upon the Member's own efforts, decisions, and commitment. Investor Fuel's role is to provide education, community, tools, and connections to support Member's growth. While Investor Fuel is committed to providing the best possible coaching, training, and resources, Investor Fuel cannot make a member successful. Only the member can do that through their own hard work, persistence, and consistent application of what they learn.
5.4 Market Conditions
Real estate markets are cyclical and subject to change. Strategies that are effective in one market or at one point in time may not produce the same results in another market or at a different time. Investor Fuel's coaching is intended to equip members with foundational and adaptive skills, but Investor Fuel cannot predict or control market movements, guarantee deal availability, or ensure that any particular strategy will produce results in any specific market or time period.
5.5 Conservative Approach
It is the intention of Investor Fuel to present educational content in a responsible, balanced, and realistic manner. Investor Fuel does not make exaggerated income claims and encourages members to approach real estate investing with appropriate due diligence, realistic expectations, and a reasonable degree of caution.

ARTICLE 6: DEAL PARTNER PROGRAM – SPECIFIC TERMS
6.1 Optional Participation
The Deal Partner Program is entirely optional. Enrollment in the Deal Partner Program does not obligate the Member to partner on any deal, and no Deal Partner is obligated to partner on any deal presented by a Member. Deal partnerships, if they occur, are entered into voluntarily by both parties.
6.2 Investor Fuel's Role
Investor Fuel has a genuine interest in helping Members succeed and in facilitating productive deal partnerships wherever possible. However, Investor Fuel's role is limited to making introductions and providing connections. Investor Fuel is not a party to any deal partnership agreement, does not control the terms of any such arrangement, and bears no responsibility for the outcome of any deal or partnership.
6.3 No Guarantee of Deals or Partnership Activity
Investor Fuel does not guarantee that a Member will be matched with a Deal Partner, that any Deal Partner will agree to partner on any particular deal, or that any deal will close, be profitable, or produce any specific result. The Member's ability to participate in deal partnerships is directly dependent upon the Member's own efforts to generate leads, identify viable opportunities, and negotiate acceptable purchase prices and deal terms. Members who do not actively work to generate leads and bring qualified deals forward should not expect deal partnership activity to occur.
6.4 Deal Approval Authority
Each Deal Partner has full authority and discretion to evaluate, underwrite, and approve or decline any deal presented by a Member, as they see fit. Investor Fuel does not control or influence Deal Partner decisions regarding deal approval. If a Deal Partner declines to participate in a deal, the Member has no recourse against Investor Fuel.
6.5 Negotiated Terms
The specific terms of any deal partnership, including but not limited to profit splits, roles, responsibilities, capital contributions, and risk allocation, are negotiated solely between the Member and their Deal Partner based on the nature of the deal, its risk profile, market conditions, and the mutual agreement of both parties. Investor Fuel does not set, mandate, approve, or guarantee any deal terms.
6.6 Independent Relationship
Any deal partnership entered into between a Member and a Deal Partner is a private business arrangement between those two parties only. Investor Fuel is not a party to any such arrangement and bears no responsibility for the performance, outcome, or disputes arising from any such arrangement.
6.7 Hold Harmless
Member agrees to hold Investor Fuel, its officers, directors, employees, agents, and affiliates harmless from any claim, loss, liability, damage, or expense of any kind arising out of or related to any deal partnership, real estate transaction, or interaction between Member and any Deal Partner, Mastermind member, or other Investor Fuel connection, regardless of the outcome.
6.8 Lender Referrals
In the event that no Deal Partner is available or willing to participate in a Member's deal, Investor Fuel may, at its sole discretion, refer the Member to third-party lenders as a courtesy. Investor Fuel does not control lending decisions, guarantee loan approval, or bear any responsibility for the terms, performance, or outcome of any lending relationship. Any such referral is provided without warranty or representation of any kind.

ARTICLE 7: MEMBER CONDUCT
7.1 Code of Conduct
Members agree to engage with the Investor Fuel Club community, coaching calls, and all program activities in a professional, respectful, and constructive manner. Disruptive, harassing, threatening, or otherwise inappropriate conduct will not be tolerated and may result in immediate termination of membership without refund.
7.2 Single User Policy
Each membership is issued to one individual only. Access to the private Facebook community, training portal, coaching calls, and all other program resources is limited to the enrolled member. Sharing login credentials, community access links, or any other membership benefit with non-members is strictly prohibited and constitutes a material breach of this Agreement. Members found to be in violation of this policy may be removed from the Program immediately without refund. If another person in your organization wishes to access Investor Fuel Club or Deal Partner Program resources, they must enroll as a separate member under their own membership.
7.3 No Solicitation or Cross-Promotion
Members may not solicit, market, or cross-promote products, services, business opportunities, or investment offerings to other Investor Fuel Club or Deal Partner Program members without the prior written consent of Investor Fuel. This restriction does not apply to standard real estate transactions or lending services conducted in the normal course of business. Violation of this provision is grounds for immediate removal from the Program and all associated communities without refund.

ARTICLE 8: INTELLECTUAL PROPERTY
8.1 Ownership
All content, materials, curricula, recordings, tools, and resources provided through Investor Fuel Club and the Deal Partner Program are the exclusive intellectual property of EP Management Inc. d/b/a Investor Fuel. Member is granted a limited, non-transferable, non-exclusive license to access and use these materials solely for personal educational purposes during the term of active membership.
8.2 Restrictions
Member may not copy, reproduce, distribute, resell, or create derivative works from any Investor Fuel content without express written permission. Recording of coaching calls or any live sessions is strictly prohibited without prior written approval from Investor Fuel.

ARTICLE 9: DISCLAIMER OF WARRANTIES
Investor Fuel provides the Program "as is" and makes no warranties, express or implied, regarding the accuracy, completeness, reliability, or suitability of any program content or the results that may be obtained from participation in the Program. Investor Fuel does not warrant that the Program will be uninterrupted, error-free, or free from technical issues.

ARTICLE 10: LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Investor Fuel's total liability to Member for any claim arising out of or related to this Agreement or the Program shall not exceed the total membership fees paid by Member in the three (3) months immediately preceding the event giving rise to the claim. In no event shall Investor Fuel be liable for any indirect, incidental, consequential, special, or punitive damages of any kind.

ARTICLE 11: DISPUTE RESOLUTION
11.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
11.2 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to this Agreement, the Program, or the breach, termination, enforcement, interpretation, or validity thereof shall be resolved by binding arbitration administered in Denton County, Texas. The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties. The decision of the arbitrator shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
11.3 Waiver of Class Action
Member agrees that any dispute shall be resolved on an individual basis only and waives any right to participate in a class action lawsuit or class-wide arbitration against Investor Fuel.

ARTICLE 12: GENERAL PROVISIONS
12.1 Entire Agreement
This Agreement, together with any enrollment confirmation and applicable program documentation, constitutes the entire agreement between Member and Investor Fuel with respect to the Program and supersedes all prior discussions, representations, or agreements.
12.2 Modification
Investor Fuel reserves the right to modify these Terms and Conditions at any time. Members will be notified of material changes via email. Continued participation in the Program following notice of changes constitutes acceptance of the updated terms.
12.3 Severability
If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
12.4 No Waiver
Failure by Investor Fuel to enforce any provision of this Agreement shall not constitute a waiver of its right to enforce that provision in the future.

ACKNOWLEDGMENT
By enrolling in Investor Fuel Club and/or the Deal Partner Program, Member acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
